About OGC
The Office of General Counsel (OGC) represents the University of Pennsylvania and Penn Medicine in a wide range of legal matters. The Office supports the mission of the University and Penn Medicine by handling all legal matters generated by the activities of the institution, including operating units and subsidiaries that comprise the University and its Health System, as well as the schools, centers, and departments..
The Office provides legal advice and counsel across the institution, represents the institution in transactions and proceedings, and initiates action to protect the institution, and manage risks.
Background
This role provides comprehensive contract administration and transactional support for Penn Medicine and its affiliated entities, working closely with legal counsel, contract administrators, and institutional stakeholders to facilitate the review, drafting, execution, and management of a wide range of contractual agreements. The position serves as a key resource in maintaining contract compliance, supporting regulatory and corporate governance activities, coordinating documentation and due diligence efforts, and ensuring the effective operation of centralized contract management systems primarily for the Health System. Through collaboration with internal clients, outside counsel, and administrative partners, the role helps advance organizational objectives while supporting complex legal, operational, and strategic initiatives across the Health System, Perelman School of Medicine, and School of Nursing.
Job Responsibilities
Assists counsel and contract administrators in the internal and external review, and drafting of contracts for the University of Pennsylvania Health System/Penn Medicine and in other transactional matters. Performs detailed contract review, drafting, and administration in accordance with Health System administrative and Office of the General Counsel objectives with emphasis on, various agreements for receipt and provision of services, and equipment, consulting and staffing agreements and professional services, educational affiliations, graduate medical education , governmental and commercial contracts, information systems, amendments, and other transactional matters.
Reviews and abstracts contractual provisions, either directly or in coordination with the business owner/originator and OGC staff, and reviews and abstracts contracts and associated documents to be entered into or maintained in the Contract Tracking System. Verifies compliance provisions in contracts. Trains and on-boards UPHS users, coordinates with Supply Chain on updates to users' access privileges and maintains control of users/passwords lists. Acts as a liaison and "point of contact" person for Contract Tracking System and for executed contracts for UPHS senior management, administrators, Supply Chair, clinical chairs, physicians, clinical staff and administrative staff.
Maintains and updates contract data base systems and files; inputs data into computer on various contract files and data bases and sets-up and maintains and organizes files, as needed. Works closely and in coordination with counsel, contract administrators, Contract Administration Office, Supply Chain and administrative support, as well as clients and data base vendor in implementing and maintenance of the Contract Tracking System for the Health System and its components; copying and filing as required. Maintains tickler system including data base systems for contract terminations, renewals, receipt of contract supporting documentation, contractual and corporate deadlines. Identifies and processes contracts that need to be evaluated through the Contract Tracking System's contracted services evaluation system (CSE) .
Works with, and provides assistance to in-house and outside counsel and the contract administrators in representation of legal matters for the University of Pennsylvania Health System and its components as they relate to Health System contracts and corporate services.
Drafts notices of termination and renewals or extension and amendments of contracts as required and in accordance with the Contract Tracking System's email notifications. Prepares documentation necessary for approval and execution of contracts in the Contract Tracking System in accordance with OGC and Health System policies and procedures.
Develops reports, establishes schedule of reports to be run, and runs reports as required in relation to Contract Tracking System as directed by OGC's Associate Director and Board Administrator and Senior Counsel and as needed or requested by Senior Management and other UPHS personnel.
Researches information and serves as a resource on various UPHS contractual issues and on diverse projects, as assigned. Assists in responding to requests for production of documents stored in the Contract Tracking System. Also assists in responding to requests for other productions of documents and due diligence activities, regulatory compliance and transactional matters as needed. Assists counsel with legal and corporate research including obtaining copies of statutes, regulations, ordinances, corporate filings and cases as directed.
Attends meetings with various Health System personnel, as required.
Performs other related duties in areas of responsibility, as assigned.
Qualifications
- Bachelor's degree and 5 to 7 years of experience or equivalent combination of education and experience is required.
- The ideal candidate enjoys working on contracting and has academic health system experience.
- The candidate should have technical skills and strong database experience preferred. They should be team-oriented and able to exercise initiative and independent judgment with superior demonstrated organization, planning, analytical, and communication skills. The candidate should have a diplomatic, personable, responsive, and practical approach to internal clients and to outside third parties. Teamwork and support of colleagues are essential. They must be able to work cooperatively with co-workers, respond well to competing time demands and deadlines, be motivated and take pride in work product. The candidate must be accurate, thorough, and detail-oriented and should be able to deal tactfully and professionally in a helpful manner with all levels of management. The candidate should be energetic and flexible and must have excellent interpersonal skills.

Salary offers are made based on the candidate's qualifications, experience, skills, and education as they directly relate to the requirements of the position, and in alignment with salary ranges based on external market data for the job's level.
