Job Description:

FUNCTION & SCOPE:

The Research Foundation for The State University of New York is searching for an industrious, deadline-driven, solutions-oriented Agreement and Royalty Administrator to support its Industry and External Affairs (IEA) team make SUNY the best place for researchers and innovators to solve the world's most pressing problems, and connect those solutions with partners that translate them into products and services that will transform lives.

You will team with the leaders of IEAs business development and partnering functions and proactively manage all agreements and engagements that grant partners the right to use SUNY-developed intellectual property for commercial non-commercial purposes. You will collaborate with colleagues throughout the organization to support the development of and implement reporting norms and standard operating procedures to ensure that all contractual obligations are met. You will support the development of reports to illustrate RF's effectiveness at intellectual property licensing activities. To be successful in your position, you will be a constant learner, and you will utilize data to drive decisions. You must be conversant, comfortable, and confident with common terminology found in license and option agreements, materials transfer agreements, confidentiality agreements, and research agreements.

DUTIES:

License administration and compliance
  • Prepare Inventors' Agreements and tax forms for inventors' signatures and handle the processing of forms when returned.
  • Proofread option and license agreements.
  • Monitor licensee and partner compliance to license and option agreements, including quarterly and annual reports, royalty payments, and milestones.
  • Record equity positions and address any issues to appropriate personnel as needed.
  • Establish and maintain database for each newly executed and active license.
  • Ensure that SUNYRF's business development and partnering team has a comprehensive understanding of a partner's performance in meeting all deliverables, milestones, and commitments contractually agreed to.

Accounts receivables processing
  • Process royalty receipts generated from licenses and options and distribution of payments to inventors with colleagues across the enterprise.
  • Invoice licensees for reimbursement of patent expenses and other receivables, and process payments when received.
  • Reconcile all royalty receipts on a monthly, semi-annual, and annual basis.
  • Ensure inventor royalty payments are calculated properly and processed timely.

Agreement preparation and maintenance
  • Select the appropriate template, input required data, and prepare the following agreements for execution:
    • Confidentiality Agreements
    • Uniform Biological Material Transfer Agreements
    • Material Transfer Agreements
    • Inventor Contribution Agreements
    • Royalty Sharing Agreements
  • Consult with team members leading business development and partnering as needed for negotiations.
  • Maintain all files for original executed documents.
  • Ensure the accuracy and completeness of royalty terms in licenses in Minuet (fka Inteum; SUNYRF's intellectual property management system) prior to the distribution of executed licenses to appropriate recipients.

Reporting and Troubleshooting
  • Prepare reports and analyses of royalty income trends, special reports on license activity, and license income production reports, and other special reports.
  • Coordinate comments on licensing and royalty data issues in proposed legislation and regulations.
  • Proactively resolve any deficiencies of the Royalty Module in Minuet which can include consulting with contractors and vendors (as appropriate) on the design, or redesign, of the Royalty Module of the IT system of record and on any special programming requirements.
  • Collaborate with senior-level officials at licensee organizations, banking institutions to resolve questions on payments and other technical royalty payment issues that cannot be resolved by others.
  • Ensure all aspects of workflow are reporting properly in database and system of record.

Requirements:

EDUCATION & EXPERIENCE:
  • Bachelors degree in business, finance, accounting, or other related field or equivalent combination of education and experience.
  • Two or more years of experience analyzing, interpreting, and clarifying various royalty-bearing transactions and tracking and distributing payments in accordance with specific policies of business development, technology licensing, or product development/marketing experience in an industrial or commercial setting.
  • Ability to work with highly complex material, both legal and technical. Ability to process work with a sense of urgency, while paying attention to detail; ability to work in a fast-paced environment and to handle multiple tasks; ability to remain calm and deal with high-pressure situations diplomatically; excellent oral and written communication skills; must be organized with demonstrated ability to work with little or no supervision; must possess the ability to prioritize workload efficiently; must possess ability for independent problem solving; must possess sound judgment and discretion, as well as confidentiality; and have a professional demeanor.
  • Experience with the development, preparation, and negotiation of a wide range of business contracts.
  • Strong working knowledge of government laws and regulations related to technology transfer is desirable, as well as an understanding of PAIR and all electronic activity/filing capabilities of USPTO.gov, and experience with Inteum or a comparable technology transfer or docket management system.
